1. Acceptance of These Terms
These Terms of Service (“Terms”) govern your access to and use of the website located at nexaflow.ie (the “Website”) and any services offered by NexaFlow AI Ltd, a company registered in Ireland, with its registered address at 10 Griffin Drive East, Ard Griffin, Cork, Ireland, P25 Y6C8 (“NexaFlow”, “we”, “us” or “our”).
By accessing or using the Website, or by engaging our services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not use the Website.

- “Services” means the artificial intelligence, automation, software development, consultancy and related services offered by NexaFlow;
- “User” or “you” means any person or entity accessing or using the Website or our Services;
- “Content” means all text, images, graphics, logos, data, software, documentation and other material available on or through the Website;
- “Client” means a User who has engaged NexaFlow to provide Services under a separate agreement.
3. Eligibility
The Website is intended for use by businesses and individuals aged 16 years or over. By using the Website, you confirm that you are at least 16 years of age and have full power and authority to enter into these Terms. If you are using the Website on behalf of a business or other entity, you confirm that you have authority to bind that entity.

You may use the Website for lawful purposes only and in accordance with these Terms. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and its Content for your own business purposes.

- Notify us immediately of any unauthorised use of your account;
- Accept responsibility for all activity that occurs under your account.
We are not liable for any loss or damage arising from your failure to protect your account credentials.

Unless otherwise stated, all Content on the Website, including text, graphics, logos, icons, images, audio and video clips, and software, is the property of NexaFlow or its licensors and is protected by Irish and international copyright, trademark and other intellectual property laws.

8. Use of Our Services
Engagement for our Services is governed by a separate written agreement, proposal or quotation, together with our Terms & Conditions. These Terms of Service apply to your general use of the Website and, where applicable, access to any software or tools we make available to you.
Where we provide you with access to software, dashboards or tools, you will:
- Use them in accordance with our instructions and applicable law;
- Not reverse engineer, decompile or disassemble them;
- Not use them to process data without appropriate lawful basis;
- Not resell or provide access to them to third parties without our written consent.
9. Third-Party Services
The Website and our Services may link to, or integrate with, third-party platforms and tools such as Make.com, n8n, Zapier, OpenAI, Anthropic, WhatsApp, payment gateways and booking systems. We do not control these third-party services and are not responsible for their availability, functionality, terms or privacy practices.
Your use of any third-party service is subject to that third party’s own terms and conditions and privacy policy.
10. Disclaimers
The Website and all Content are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
We do not warrant that the Website will be uninterrupted, error-free or secure, or that defects will be corrected. We make no warranty regarding the accuracy, completeness or reliability of any Content on the Website.
AI-generated content and outputs produced by systems we build or deploy may contain errors, inaccuracies or omissions. You are responsible for verifying such outputs before relying on them. Please see our Disclaimer for further details.
11. Limitation of Liability
- Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud.
- To the maximum extent permitted by law, we will not be liable for any indirect, incidental, consequential or special damages, or for any loss of profits, revenue, data, goodwill or business opportunities, arising out of or in connection with your use of the Website or our Services.
- Our total aggregate liability under these Terms will not exceed the total Fees paid by you to us in the 12 months preceding the event giving rise to the liability, or €100, whichever is greater.
12. Indemnity
You agree to indemnify and hold harmless NexaFlow, its directors, officers, employees, agents and subcontractors from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Website or our Services;
- Your breach of these Terms;
- Your violation of any applicable law or the rights of any third party;
- Any data, content or materials you provide to us or upload through our Services.
13. Termination
We may suspend or terminate your access to the Website, or any account, at any time and for any reason, including breach of these Terms. Upon termination, the provisions of these Terms which by their nature should survive (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnity and Governing Law) will remain in force.

We may update these Terms from time to time. The latest version will always be available on this page, with a revised “Last updated” date. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms. Where you are a Client under a separate agreement, the terms applicable at the time of that agreement will continue to govern that agreement unless otherwise agreed.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Ireland.
